Welcome to our Terms and Conditions! These boxes aren’t legally binding, you can use them as an aid for understanding the legal language.
1. DEFINITIONS
In these Conditions:
“Company” refers to SHIFT Consulting Inc., a company duly registered under Philippine laws, with office address at Unit 3F-VIR.71, 3rd Flr., Symphony Tower 2, Sgt. Esquerra Avenue, South Triangle, QC 1103, and business email at info@shiftconsulting.ph.
“Customer” refers to any person or entity who purchases or accesses the Products.
“Products” refer to digital offerings, including but not limited to online courses, e-books, downloadable materials, and consulting services.
“VAT” refers to Value Added Tax in accordance with Philippine laws.
2. SCOPE OF APPLICATION
2.1 These Conditions apply to all purchases of Products conducted through the Company’s website, platform, or any approved online channel. 2.2 By placing an order, the Customer confirms they have read, understood, and accepted these Conditions.
3. PRODUCTS AND DELIVERY
3.1 Product Description: The Company offers digital Products, including online courses, downloadable materials, and consulting services. Product details, including scope, inclusions, and fees, are displayed on the website. 3.2 Delivery:
For online courses or consulting services, access links, schedules, and relevant instructions will be provided via the Customer’s registered email.
For downloadable materials (e.g., e-books, templates), the Customer will receive immediate access via a download link or email upon successful payment. 3.3 Access:
Access to online courses and digital materials is strictly for the Customer’s personal use and may not be shared, resold, or transferred to third parties.
Online course access will remain available for the duration specified in the product description (e.g., lifetime access, 6 months, 1 year).
4. PRICES, VAT, AND PAYMENT TERMS
4.1 Prices: All prices displayed are in Philippine Pesos (PHP). 4.2 VAT:
For Customers based in the Philippines, prices are inclusive of 12% VAT.
For Customers outside the Philippines, digital products and services consumed outside the country may qualify for 0% VAT in accordance with Philippine tax laws.
The Company reserves the right to determine VAT treatment based on the Customer’s billing address and payment currency.
4.3 Payment Methods: The Company accepts payments through the following methods:
Credit/Debit Cards
Online Payment Platforms (e.g., GCash, PayPal)
Bank Transfer 4.4 Payment Confirmation: Access to the Products will only be granted upon confirmation of successful payment.
5. REFUNDS AND CANCELLATION
5.1 Digital Products: Due to the nature of digital Products, refunds are generally not allowed once access or download links have been provided. 5.2 Consulting Services:
Customers may request a reschedule of consulting sessions with at least 48 hours’ notice.
Failure to attend a scheduled session without prior notice will result in forfeiture of that session. 5.3 Refund Exceptions: Refunds may only be granted in the following circumstances:
The Product was not delivered due to a system error or technical fault on the Company’s side.
The Customer was charged incorrectly or multiple times.
The Product did not conform to the description provided on the website.
6. CUSTOMER OBLIGATIONS
The Customer agrees to:
Provide accurate information when placing an order, including their email address for delivery and communication.
Use the Products strictly for personal and non-commercial purposes.
Not share, reproduce, distribute, or resell the Products or access links to third parties.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Ownership: All intellectual property rights, including copyrights, trademarks, designs, and content of the Products, are and shall remain the exclusive property of SHIFT Consulting Inc. or its licensors. 7.2 License: Upon purchase, the Customer is granted a limited, non-exclusive, non-transferable, revocable license to use the Products for personal, non-commercial purposes only. 7.3 Prohibited Uses: The Customer shall not:
Copy, reproduce, distribute, modify, or create derivative works of the Products without prior written consent from the Company.
Share access to online courses, consulting recordings, or downloadable materials with unauthorized third parties.
Resell or commercially exploit the Products in any manner. 7.4 Violations: Any unauthorized use or infringement of the Company’s intellectual property rights will result in immediate termination of access to the Products and may subject the Customer to civil and criminal liability under applicable laws, including the Intellectual Property Code of the Philippines (RA 8293).
8. DATA PRIVACY
8.1 The Company complies with the Data Privacy Act of 2012 (RA 10173) and guarantees that all personal data collected will be used solely for processing Orders, delivering Products, and improving services. 8.2 The Customer’s payment details will be handled securely and will not be stored by the Company. 8.3 The Customer may request access to, modification, or deletion of their personal data by contacting info@shiftconsulting.ph.

9. LIMITATION OF LIABILITY
9.1 The Company’s liability is limited to the amount paid by the Customer for the Product. 9.2 The Company shall not be liable for technical failures, internet disruptions, or misuse of the Products by the Customer. 9.3 The Customer is responsible for ensuring they have the necessary equipment and internet connection to access the Products.
10. GOVERNING LAW AND DISPUTE RESOLUTION
10.1 These Conditions shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines. 10.2 In the event of a dispute, the parties agree to resolve the matter amicably. If unresolved, disputes shall be submitted to the proper courts of Quezon City, Philippines.
11. AMENDMENTS
The Company reserves the right to amend these Conditions at any time. Updated terms will be posted on the website, and continued access to or use of the Products constitutes acceptance of the updated terms.

By purchasing or accessing the Products, the Customer acknowledges that they have read, understood, and accepted these General Conditions of Sale, including the Intellectual Property Rights clause.

These General Conditions of Sale (“Conditions”) govern the purchase and use of digital products, including online courses, downloadable materials, and consulting services (collectively referred to as the “Products”), offered by SHIFT Consulting Inc. (“Company”) through its website or online platforms. By purchasing or accessing the Products, the buyer (“Customer”) agrees to comply with and be bound by these Conditions.
